By engaging Areweb Digital Pty Ltd (“Areweb Digital”) for services or by using any of our offerings, you agree to the terms and conditions set out in this document. Your acceptance of these terms is confirmed when you enter into a contract, begin or complete a business transaction, or use any Areweb Digital services.
1.1 These terms and conditions govern all design, marketing, web development, and related services provided by Areweb Digital.
1.2 Please read these terms carefully. If you do not agree to them in their entirety, you may not use our services. Areweb Digital may update these terms from time to time by publishing the revised version on our website. Any updates will not affect the terms agreed to for a specific project already in progress.
2.1 To the maximum extent allowed by law, Areweb Digital excludes all warranties not expressly included here, whether implied by law, trade practice, or otherwise. No verbal or written advice from our team, agents, or contractors creates any warranty beyond those stated.
2.2 Our total liability for any claim in contract, negligence, or otherwise is limited to the total amount paid by you for the specific services giving rise to the claim.
2.3 Areweb Digital will not be liable for any indirect, incidental, or consequential loss, including lost profits or savings.
3.1 You are responsible for obtaining all necessary intellectual property rights, licences, and consents needed for your project.
4.1 You agree to indemnify and hold Areweb Digital harmless against any third-party claims arising from the services we provide to you, including costs, damages, and legal fees, resulting from your breach of these terms.
5.1 If any part of these terms is found invalid or unenforceable, the remaining provisions will continue to apply.
6.1 Areweb Digital may assign or transfer this agreement. You may only transfer your rights under this agreement with our written consent.
7.1 These terms replace all prior agreements and understandings. Any changes must be in writing and signed by both parties.
8.1 This agreement is governed by the laws of Victoria, Australia. Both parties submit to the exclusive jurisdiction of its courts.
9.1 Quotes are valid for 30 days. We may require a deposit of up to 50% before starting work. Payment terms, deposits, and progress payments will be outlined in your invoice or project agreement.
9.2 Prices exclude GST unless otherwise stated. Additional charges may apply if requests fall outside the agreed project scope.
9.3 Areweb Digital is not responsible for delays caused by you or third parties. We reserve the right to suspend services for late payments.
10.1 Invoices are payable within the period stated on the invoice. Late payments may attract interest and additional charges.
10.2 Rush projects (less than 24 hours’ notice) may incur a surcharge.
11.1 You are responsible for proofing and approving all content before production. We are not liable for errors once approval is given.
11.2 If you supply artwork, it must meet our print-ready specifications. We accept no responsibility for quality issues from client-supplied files.
12.1 You agree that Areweb Digital may display a discreet credit link on your website and showcase your project in our portfolio.
13.1 We retain ownership of all intellectual property until full payment is received. Once paid, you receive a licence to use the works for the agreed purpose.
14.1 Registration of any trademark is your responsibility and is not included in our services.
15.1 You must not attempt to hire or contract any Areweb Digital staff or subcontractors for 24 months after the completion of your project without our written consent.
